Terms of Use

The rules governing access to and use of the entire P图 platform, services, technology, content, payments, and support.

These Terms of Use form an agreement between you and DAVIS MATERIALWORKS (UEN 53036747E), 39 Ubi Road 1 #02-04, Singapore 408695 (Davis Materialworks, “P图”, “we”, “us” or “our”) when you access or use p2.dmw.sg and its related services.

Please read these Terms before accessing P图, creating an account, submitting content or instructions, buying or receiving credits, or using any service. By accessing or using P图, you agree to these Terms and our Privacy Policy. Rights and liabilities that applicable law does not permit either party to exclude continue to apply.

Agreement and operator

These Terms apply to the entire P图 platform and every present or future P图 website, application, account, tool, model, feature, workflow, API, generated or processed result, media library, credit, payment, partner function, custom service, support channel, and related technology or service. References to a “Service” include any of them. If P图 gives you a written quotation or separate agreement, that document governs the matter it specifically covers and these Terms govern all remaining use of P图.

If you do not agree to these Terms, do not use P图. You should save a copy of the Terms that apply when you purchase or submit work.

Eligibility

You must be at least 18 years old and legally able to enter into this agreement. If you use P图 for a business or another organisation, you confirm that you have authority to bind it and “you” includes that organisation.

P图 may refuse registration and business

P图 reserves the right, to the maximum extent permitted by law, to refuse registration, reject an account or order, decline to provide or continue business, restrict features, block access, suspend or close an account, and prevent a person from visiting or using any Service. Access to P图 is an invitation to use a privately operated platform and does not create an entitlement to registration, acceptance, continued service, or future business.

P图 may maintain internal exclusion lists or blacklists and apply an access decision to related accounts, email addresses, payment methods, devices, networks, organisations, representatives, or other identifiers where P图 reasonably considers them connected. Reasons may include previous refusal or termination, breach of these Terms, abuse, fraud, payment or chargeback risk, threats, harassment, security concerns, sanctions, legal or provider restrictions, reputational or operational risk, capacity, incompatibility with P图's services, or commercial reasons. This list is illustrative and does not limit P图's discretion.

P图 is not required to disclose confidential screening criteria, security information, provider rules, internal records, evidence, or the full reason for an access decision, except where disclosure is required by law. P图 may reverse, maintain, or expand an access decision after review. Nothing in this section permits unlawful discrimination or overrides a right that applicable law does not allow P图 to exclude.

Accounts and security

  • Provide accurate account information and keep your email account secure.
  • Keep sign-in codes, session links, and account access confidential. Do not share an account in a way that bypasses an approved partner or team arrangement.
  • Tell Support promptly if you suspect unauthorised access. You are responsible for activity performed through your account until you notify us, except to the extent the activity resulted from P图's breach of duty.
  • Do not sell, rent, or transfer an account. Approved credit transfers are governed by the Credits section below.

The P图 Services

P图 provides technology and services that may create, edit, process, analyse, store, organise, deliver, or otherwise work with media, data, prompts, instructions, and other material. A Service may use automated systems, artificial intelligence, internal workflows, third-party providers, human review, reference material, or a combination selected by P图. A customer-facing description, confirmed order, and any accepted written quote define the requested work.

P图 decides the technical methods, providers, models, routing, safeguards, limits, and operational processes used to provide a Service. P图 may add, improve, reconfigure, replace, limit, suspend, or withdraw any Service or feature at any time. P图 may change future prices and eligibility without owing compensation for discontinued or changed free features. A change will not increase the confirmed price of an existing paid order without your approval.

Your content and permissions

You keep any rights you already hold in media, prompts, instructions, brand material, and other content you submit (“Customer Content”). You are responsible for Customer Content and for how you use the results.

You confirm that you own Customer Content or have all licences, consents, privacy permissions, publicity permissions, and other authority needed for P图 and its service providers to process it as requested. This includes permission from people shown in an image where required.

Licence needed to perform your job

You grant P图 a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, inspect, moderate, adapt, transform, and otherwise process Customer Content only as reasonably necessary to provide P图, complete your instructions, provide support, secure and maintain the service, enforce these Terms, and comply with law. This licence allows P图 to give its service providers the limited rights they need for those purposes.

The licence ends when the relevant purpose and required retention period end, except for protected backups, records required by law, and rights needed to resolve a dispute or enforce these Terms. P图 will not use your private Customer Content in public marketing without separate permission.

Your results and copyright

As between you and P图, P图 does not claim ownership of the media generated specifically for your job (“Output”). Once any applicable credits are deducted or payment is completed, P图 assigns to you any transferable intellectual-property rights it owns in that Output. If a right cannot be assigned, P图 grants you a worldwide, perpetual, royalty-free licence to use, reproduce, modify, distribute, display, perform, and commercialise that Output. No payment is required for this allocation when P图 expressly provides the Output free of charge.

This allocation governs rights between you and P图 only. It does not create rights that do not exist under law, transfer a third party's rights, or override restrictions attached to Customer Content. Output may not qualify for copyright, may be similar or identical to material produced for another person, and may contain elements subject to third-party rights.

AI limitations and your review

  • AI may produce unexpected, inaccurate, distorted, biased, offensive, incomplete, or technically unsuitable results.
  • The same prompt or settings may produce different results, and other users may receive similar results.
  • Previews, examples, and before-and-after images illustrate possible outcomes and do not guarantee an identical result.
  • You must review Output before publication, printing, identity use, advertising, professional reliance, or other consequential use.
  • P图 is not a substitute for legal, medical, financial, safety, authentication, or other professional advice.

Acceptable use

You must use P图 lawfully and responsibly. You must not submit, request, create, distribute, or assist content or activity that:

  • Infringes copyright, trade marks, privacy, publicity, confidentiality, contractual rights, or other rights.
  • Is illegal, fraudulent, defamatory, threatening, harassing, hateful, discriminatory, sexually exploitative, or abusive.
  • Sexualises, exploits, endangers, or depicts the abuse of a minor, or seeks to facilitate such conduct.
  • Impersonates a person, creates deceptive endorsements, enables fraud, or materially misleads people about an image or event.
  • Creates or alters identity documents, evidence, credentials, financial records, or official material for deception or unlawful use.
  • Uses a person's face, body, private information, or likeness without the authority and consent required by law.
  • Removes a watermark, signature, notice, or rights-management information unless you own the underlying work or have express authority to do so.
  • Introduces malware, probes security, scrapes or overloads the service, bypasses access controls, reverse engineers protected systems, or uses P图 to build a competing model or service contrary to law or an applicable licence.

Identity, regulated, and consequential uses

P图 is a technology and creative service. It does not issue official material, verify identity or facts, certify compliance, or guarantee that any result will be accepted by a government, regulator, court, employer, platform, marketplace, publisher, printer, or other third party. Requirements vary and may change. You must check the authoritative requirements and obtain professional review where appropriate.

You must not rely on P图 as the sole basis for an identity, legal, medical, financial, safety, employment, evidential, regulatory, or other consequential decision. You must not use P图 to conceal identity, falsify evidence or credentials, evade verification, or create a deceptive official record.

Prices and payments

  • Prices are shown in Singapore dollars or P图 credits before confirmation. Applicable taxes or payment charges will be shown when required.
  • P图 uses an external payment processor. Your payment is complete only when P图 receives confirmation. Do not submit a second payment while an earlier result is uncertain; use the recovery or support flow.
  • You authorise P图 and its payment provider to charge the amount you confirm. Payment-provider terms may also apply to its checkout service.
  • For separately quoted work, the quote describes scope, price, expiry, and any additional conditions. Work begins only after the required approval and payment.

Credits

  • Purchased credits expire two years after the date P图 confirms the purchase. Credits issued directly by an administrator expire two years after the grant date. Credits obtained through a redeem code expire two years after the redemption date. P图 uses credits with the earliest expiry first.
  • Transferred credits keep their original expiry date. A transfer is final once confirmed unless P图 corrects fraud, duplication, or a technical error.
  • Credits are a limited contractual right to buy eligible P图 services. They are not money, a bank deposit, an investment, or transferable outside P图, and they have no cash value except where a refund is required by law or expressly approved under these Terms.
  • Administrator-granted, promotional, and redeemed credits are not refundable or exchangeable for cash. A redeem code may have its own use-by date, redemption limit, eligibility rules, or campaign conditions; those controls are separate from the two-year validity of credits after a successful redemption.
  • Closing an account forfeits unused credits unless applicable law requires otherwise or P图 agrees in writing to a refund.

Failed jobs, cancellations, and refunds

Credits reserved for a job that P图 confirms as failed or cancelled are released to the original wallet. If an individually paid job fails before usable Output is delivered, contact Support with the job and payment reference so we can investigate and, where appropriate, retry, provide a replacement, or refund the affected payment.

You may ask Support to consider a full refund of a purchased credit package while every credit from that package remains unused, unreserved, and untransferred. If approved, all package credits are removed and the refund is sent through the original payment method where practicable. P图 may refuse a discretionary refund where the law allows.

A completed job is not normally refundable because you changed your mind, dislike a subjective creative result, supplied unsuitable content, or selected the wrong Service or options. This does not limit remedies available when P图 fails to provide the paid service with reasonable care, makes a false or misleading representation, or when applicable law otherwise requires a remedy.

Support-assisted and offline work

If automated processing fails, you may ask Support to investigate. P图 may review technical and provider logs, try another approved workflow, adjust an internal process, or propose that Davis Materialworks completes the work through a supervised or offline process. P图 decides whether support-assisted completion is available and which reasonable method to use. Customer-facing failure messages may omit confidential provider, model-routing, security, and operational details.

If the alternative is covered by your confirmed job price, P图 may proceed without an additional charge. If it changes the scope or price, P图 will give you a quote and obtain your approval before charging or beginning that additional work. You may decline and keep any refund or released-credit rights that otherwise apply.

Moderation, warnings, and restrictions

P图 and its providers may inspect, reject, or block content and requests to enforce law, safety controls, provider requirements, and these Terms. We may warn you, restrict a feature, suspend processing, or close an account where reasonably necessary. Serious or repeated abuse, security threats, fraud, or illegal content may result in immediate restriction and referral to relevant authorities.

You may use the available appeal or support process if you believe a restriction is mistaken. We do not promise to disclose confidential security rules, provider routing, or information that would help someone evade safeguards.

Media retention and account closure

Uploaded media normally expires two years after it is added to the library, and generated media normally expires two years after it is created. Download any result you wish to keep before its displayed expiry. You may delete available media earlier. P图 may shorten storage for material that violates these Terms or must be removed for security, legal, provider, capacity, or operational reasons, and may delay final deletion while an active job, refund, investigation, legal hold, backup cycle, or provider cleanup process is pending.

You may close your account after active jobs and payment matters are resolved. Closure revokes sessions and schedules media for deletion. P图 may retain limited payment, tax, ledger, audit, security, moderation, and dispute records as described in the Privacy Policy.

P图 technology, branding, and website copyright

P图 and its licensors own the platform, software, interfaces, systems, workflows, configurations, templates, non-customer prompts, documentation, databases, selections and arrangements, branding, and all other P图 technology and materials. Subject to these Terms, P图 gives you a limited, revocable, non-exclusive, non-sublicensable, non-transferable right to use the customer-facing Services for their intended purpose. No right to P图 technology, source code, internal prompts, methods, provider relationships, trade secrets, or confidential operational information is transferred to you.

Feedback is voluntary. You allow P图 to use feedback without payment or confidentiality obligations, provided P图 does not use your private Customer Content in public marketing without separate permission.

Availability and third-party services

P图 depends on networks, cloud infrastructure, payment services, AI services, suppliers, and other third parties that P图 does not control. To the maximum extent permitted by law, P图 is not responsible for a third party's availability, decisions, rules, models, outputs, delays, suspension, data handling, or acts and omissions. We do not guarantee uninterrupted, secure, timely, or error-free availability and may pause, limit, or discontinue P图 for maintenance, capacity, security, provider changes, legal compliance, business reasons, or circumstances outside reasonable control.

Service disclaimers

To the maximum extent permitted by law, P图, every Service, and every Output are provided “as is” and “as available”, with all faults and without warranties, representations, conditions, undertakings, or guarantees except those expressly stated in these Terms or a confirmed written quote. P图 disclaims implied warranties and does not guarantee accuracy, quality, fitness for purpose, merchantability, compatibility, availability, a particular creative or commercial outcome, official acceptance, uniqueness, copyright status, or freedom from third-party claims.

Nothing in these Terms excludes a guarantee, condition, remedy, or liability that cannot lawfully be excluded or restricted.

Liability

Nothing in these Terms limits liability that cannot lawfully be limited. Subject to that rule and to the maximum extent permitted by law, P图 and its owner, personnel, contractors, licensors, and providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profit, revenue, business, opportunity, goodwill, anticipated savings, reputation, use, or data; the cost of substitute services; third-party claims; or decisions made using a Service or Output, whether the claim arises in contract, tort, negligence, statute, restitution, or otherwise and even if the possibility was known.

To the maximum extent permitted by law, the total aggregate liability of P图 and all persons associated with P图 for every claim arising from or connected with the Services is limited to the amount you paid directly to P图 for the specific affected Service during the six months before the first event giving rise to the claim. Free Services and unused promotional, administrator-granted, or redeemed credits do not create monetary liability. This limit does not reduce a remedy that applicable law expressly requires and does not permit to be excluded or limited.

Responsibility for a breach

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless P图, Davis Materialworks, and their owner, personnel, contractors, licensors, and providers from third-party claims, regulatory action, losses, liabilities, damages, judgments, penalties, and reasonable legal and professional costs arising from your Customer Content, instructions, breach of these Terms, infringement or violation of another person's rights, unlawful or unauthorised use, publication or distribution of Output, or misuse of an account or Service. P图 may control the defence and settlement, and you must provide reasonable cooperation. You may not settle a matter that imposes liability, admission, or obligation on an indemnified party without P图's written consent.

Changes to these Terms

We may update these Terms to reflect service, legal, security, or operational changes. We will publish the new effective date and give reasonable additional notice of a material change. A material change will not retroactively alter a completed purchase. If continued use requires renewed acceptance, P图 may ask you to accept the updated Terms before starting new work.

Singapore law and disputes

These Terms are governed by Singapore law. Contact Support first and give us a reasonable opportunity to resolve a concern. If it cannot be resolved, the courts of Singapore have non-exclusive jurisdiction, unless applicable consumer law gives you the right to bring a claim elsewhere.

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce them. If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver of that right.
